Templum Capital manages the Cosmos Fund, a fund designed to bring private market access to accredited investors.

What is a Class of the Cosmos Fund?

Each Class of the Cosmos Fund is akin to a single-asset SPV (Special Purpose Vehicle). This means each class pools investments from multiple investors to invest in a single asset or opportunity. Each Class is managed separately and is isolated from other Classes of the Cosmos Fund.

Why invest through Cosmos Fund instead of investing directly into a private company?

Investing directly in private companies tends to require a significant amount of capital. Through the Cosmos Fund, an investor can obtain economic exposure to the desired target private company without as large of a capital commitment.

Who manages the Cosmos Fund?

The Cosmos Fund is managed by Templum Capital, a team of experienced financial market professionals, bringing over 20 years of industry experience on average.

What types of assets does Cosmos Fund invest in?

The Cosmos Fund prioritizes investing in late-stage private companies that are sector leaders. Past examples of Classes of the Cosmos Fund include SpaceX, Databricks, and xAI.

What are the typical fees involved?

Cosmos Fund’s fees are:

• Subscription Commission: 6%
• Management Fees: 5%
• Carry (Carried Interest) and Exit Fee: 0%

What is the valuation or price per share for the Classes of the Cosmos Fund?

Our goal is to make the Cosmos Fund available to as many eligible investors as possible. As a result, we do not know the exact valuation or price per share when we are accepting investor orders. We source underlying assets after the offering closes. We launch each Class of Cosmos Fund with the goal to source underlying exposure at a competitive price based on current market conditions.

What is the minimum investment?

The Cosmos Fund typically sets $25,000 as the minimum investment amount.

Are Classes of the Cosmos Fund liquid investments?

No. Classes of the Cosmos should be considered illiquid, long-term commitments. Capital may be tied up for 5–6 years depending on the exit timeline.

Why is Cosmos Fund only available through Templum Markets?

Since Templum Capital, the manager of Cosmos Fund, is affiliated with Templum Markets, regulations require Cosmos Fund to be sold through Templum Markets.

How do I invest in Cosmos Fund?

Start by creating a brokerage account with Templum Markets.

• Upload documents to verify that you are an accredited investor.
• Find the Class of the Cosmos Fund you are interested in under the “Offerings” tab at the top of the page.
• Review the offering documents and submit an indication using the “Invest” button in the portal.

What do I do after I submit my indication?

If your indication is selected, you will complete your investment. If your indication is not selected, no additional action will be required from you.

When will the Manager of Cosmos Fund select investors?

The Manager will select the investors in each Class of Cosmos Fund once the indication window closes. The Manager selects investors first by indication size and then by time submitted. An earlier indication receives priority over a later submitted indication of the same amount.

What happens if my indication is selected?

We will notify selected investors via email. You will then need to sign subscription documents and wire your commitment to Templum Markets. Once all investor commitments are received, the Manager will source the underlying exposure for the Class and allocate investments.

Do investors in the Cosmos Fund receive equity in the target investment?

Yes, but indirectly. Investors hold membership interests in a Class of Cosmos Fund, which in turn holds equity exposure in the target investment.

What tax documents does the Cosmos Fund produce?

The Cosmos Fund is taxed as flow-through entity, and we will issue a K-1 to each investor.

How and when do I receive returns or distributions?

Classes of the Cosmos Fund will distribute net proceeds to investors upon a liquidity event (e.g., acquisition, IPO, or sale) or after five years.
